Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Seller", "you") and Raoofa Innovation Pvt. Ltd. ("Company", "we", "us", "our"), the owner and operator of EcomShadow.

By registering for an account, accessing, or using the EcomShadow platform available at ecomshadow.com, you confirm that you have read, understood, and agree to these Terms and our Privacy Policy, which is incorporated by reference.

If you are using EcomShadow on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

EcomShadow is an AI-powered seller intelligence and productivity SaaS platform for Indian e-commerce sellers. It provides tools including but not limited to:

• Keyword research and SEO analysis for Indian marketplaces
• Product research and opportunity analysis
• AI-powered listing builder and listing analyzer
• Multi-marketplace inventory management and sync
• Order tracking and inventory planning
• PDF & Label Tools for printing shipping labels
• Analytics and seller performance dashboards

The platform integrates with major Indian e-commerce marketplaces including Amazon India, Flipkart, Meesho, Myntra, Snapdeal, Ajio, eBay India, and Shopify.

To use EcomShadow, you must:

• Be at least 18 years of age
• Be a registered seller on at least one Indian e-commerce marketplace, or be evaluating EcomShadow for seller use
• Be capable of forming a legally binding contract under applicable Indian law
• Not be prohibited from receiving services under applicable laws (Indian or otherwise)

By creating an account, you represent and warrant that you meet all eligibility requirements. We reserve the right to terminate accounts that do not meet these requirements.

To access most features of EcomShadow, you must register for an account. When creating your account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your login credentials confidential and not share them with others
• Notify us immediately at [email protected] if you suspect unauthorized access to your account
• Be solely responsible for all activity that occurs under your account

We reserve the right to refuse registration or cancel accounts at our discretion, particularly where we suspect violation of these Terms or fraud.

EcomShadow offers a free tier with limited features and paid subscription plans. By subscribing to a paid plan, you agree to the following:

• Billing: Subscription fees are billed in advance on a monthly or annual basis, in Indian Rupees (INR), inclusive of applicable taxes.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date.
• Price Changes: We may change subscription prices with at least 30 days' notice. Continued use after the price change constitutes acceptance.
• Failed Payments: If payment fails, we may suspend access to paid features until the outstanding amount is cleared.
• No Chargebacks: Initiating a chargeback without first contacting our support team may result in immediate account suspension.
• GST: Prices displayed are exclusive of GST unless otherwise stated. Applicable GST will be added at checkout.

EcomShadow grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform for your own legitimate e-commerce seller operations. Permitted uses include:

• Researching products and keywords for your own marketplace listings
• Managing and syncing inventory across your connected marketplace accounts
• Generating and optimizing product listings using AI tools
• Tracking orders and planning inventory replenishment
• Using PDF and label tools for your own shipping and operational needs
• Accessing analytics and reports for your own seller accounts

You may not use EcomShadow in any of the following ways:

• Violating any applicable local, state, national, or international law or regulation
• Scraping, crawling, or extracting data from EcomShadow beyond what is provided through normal platform use or authorized APIs
• Reselling, sublicensing, or providing access to EcomShadow to third parties without authorization
• Attempting to reverse-engineer, decompile, or disassemble any part of the platform
• Using the platform to manipulate marketplace listings, ratings, or reviews in violation of marketplace policies
• Uploading or transmitting malicious code, viruses, or any software that may harm our systems
• Impersonating another person or entity, or misrepresenting your affiliation
• Using AI-generated listings or content in a manner that violates the terms of the respective marketplace
• Attempting to gain unauthorized access to other users' accounts or our backend systems
• Using the platform to engage in any activity that is fraudulent, deceptive, or harmful

Violation of any prohibited use may result in immediate account suspension and, where applicable, legal action.

EcomShadow connects to third-party marketplace platforms (Amazon India, Flipkart, Meesho, etc.) through official APIs and authorized integrations. By connecting your marketplace accounts, you:

• Authorize EcomShadow to access and process data from your connected marketplace accounts on your behalf
• Confirm that you have the right to authorize this access under the respective marketplace's seller agreement
• Agree that EcomShadow is not responsible for any disruptions, policy changes, or API limitations imposed by the marketplace
• Acknowledge that marketplace APIs may be unavailable at times, which is outside our control

EcomShadow uses AI models (powered by Anthropic's Claude) to provide features such as listing generation, keyword suggestions, and seller recommendations. By using AI-powered features, you acknowledge:

• AI-generated content is provided as a starting point and should be reviewed before publishing to any marketplace
• We do not guarantee the accuracy, completeness, or marketplace-compliance of AI-generated outputs
• You are solely responsible for the listings and content you publish to marketplaces, regardless of whether AI assistance was used
• AI suggestions related to pricing, inventory, or product strategy are informational only and not financial advice
• Inputs you provide to AI features are processed as described in our Privacy Policy

You retain ownership of all data and content you upload, connect, or create within EcomShadow, including your product listings, inventory data, and marketplace information ("Your Content").

By using EcomShadow, you grant us a limited, non-exclusive license to process, store, and use Your Content solely for the purpose of providing and improving the EcomShadow service to you. We do not claim ownership of Your Content and will not sell it to third parties.

You are responsible for ensuring that Your Content does not violate any third-party rights, applicable laws, or marketplace policies.

All elements of EcomShadow — including the platform, codebase, design, brand, AI models, algorithms, features, and documentation — are the exclusive intellectual property of Raoofa Innovation Pvt. Ltd. and are protected by applicable Indian and international intellectual property laws.

You may not copy, reproduce, distribute, or create derivative works from any part of EcomShadow without our prior written consent. The EcomShadow name, logo, and "Powered by Claude AI" badge are trademarks of their respective owners and may not be used without authorization.

EcomShadow is provided on an "as is" and "as available" basis without any warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that:

• The platform will be uninterrupted, error-free, or completely secure at all times
• AI-generated listings or suggestions will be accurate, complete, or suitable for any particular marketplace
• Product research data, keyword data, or analytics will be free from errors or represent real-time information
• Any results (sales growth, revenue increase, listing performance) will be achieved through use of the platform

Use of EcomShadow for business decisions is at your own risk. We strongly recommend verifying AI-generated content before publishing.

To the fullest extent permitted by applicable Indian law, Raoofa Innovation Pvt. Ltd., its directors, employees, and affiliates shall not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of revenue, profits, data, business, or goodwill arising from your use of EcomShadow
• Losses resulting from marketplace API downtime, policy changes by third-party marketplaces, or data sync failures
• Any damage caused by unauthorized access to your account
• Any loss resulting from reliance on AI-generated content, suggestions, or analytics

In any case, our total aggregate liability to you for any claims arising out of or relating to these Terms or your use of EcomShadow shall not exceed the total fees paid by you to EcomShadow in the 3 months immediately preceding the claim.

By You: You may cancel your account at any time through your account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period.

By Us: We may suspend or terminate your account immediately, without notice, if:

• You violate any provision of these Terms
• We determine your use poses a risk to the platform, other users, or third parties
• You engage in fraudulent, abusive, or illegal activity
• You fail to pay subscription fees after reasonable notice

Upon termination, your access to the platform will cease immediately. We may delete your data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination (including Sections 10, 11, 12, 13, and 15) shall continue to apply.

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the use of EcomShadow shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of competent courts in India.

Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
